1. Purpose

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between Equipartner – Alexandre Guilmard, hereinafter referred to as “the Trainer,” and any corporate client wishing to benefit from a professional training service, hereinafter referred to as “the Client.”

2. Services Provided

The Trainer offers corporate training services, including but not limited to:

• In-person and/or remote training sessions

• Coaching workshops and individual or group support

• Provision of training materials

The content, duration, location, and objectives of the training are defined in a training agreement or quotation signed by both parties.

3. Orders and Acceptance of the GTCS

Any registration for or order of a training service implies full and unconditional acceptance of these GTCS.

4. Prices and Payment Terms

Prices are indicated in CHF, excluding taxes, and may be revised annually.
A deposit of 30% may be requested upon signature of the quotation.
The remaining balance is payable within 30 days following the service.

Any late payment will result in penalties of 5% per month of delay, as well as a flat fee of CHF 200 for recovery costs.

5. Cancellation and Postponement

By the Client:

• Any cancellation must be notified in writing at least 15 days before the scheduled date.

• In the event of a late cancellation (less than 7 days before the training), 100% of the total amount remains due.

• In the event of a postponement, a new date shall be agreed upon by mutual consent.

By the Trainer:
The Trainer reserves the right to cancel or postpone a session in the event of force majeure (illness, unavailability, etc.) and will propose an alternative solution.

6. Obligations of the Parties

The Trainer undertakes to:

• Deliver a service in accordance with the agreed programme

• Provide the necessary pedagogical resources

The Client undertakes to:

• Provide adequate logistical conditions (room, equipment, access to online tools, etc.)

• Ensure the attendance of registered participants

7. Liability and Insurance

The Trainer cannot be held liable for indirect damage or for the participants’ failure to achieve the pedagogical objectives.
It is the Client’s responsibility to obtain insurance covering any potential risks related to the training.

8. Intellectual Property

All training materials provided (documents, slides, videos, etc.) are protected by copyright. They are intended for strictly personal use and may not be reproduced or distributed without the Trainer’s written consent.
The Trainer retains full intellectual property rights over all content.

9. Confidentiality and Data Protection

All information exchanged between the parties is confidential.
The Trainer undertakes not to disclose any Client data, except where required by law or with the Client’s written consent.

10. Disputes and Applicable Law

In case of dispute, the parties shall make every effort to reach an amicable agreement. Failing this, the dispute shall be submitted to the competent courts of Geneva, Switzerland.
